Applying for registration

Corporate Compliance and Corporate Admin will be retired on 15 April 2024.
You won't be able to use either software after 15 April 2024. Learn what this means for you

For a company to be registered, it must meet the following conditions.

  • The company must have a state of registration.

  • The company must have a current business address.

  • The company must have a current registered address.

  • The company must have at least one director.

  • If the company is limited by guarantee, it must have at least one member.

  • If the company is not limited by guarantee, it must have at least one share issued.

  • For each share issue — the number of shares issued must match the total number of shares held by the associated members.

A foreign company and a registered Australian body cannot be registered.

How to generate an application for registration of an Australian company
  1. Select and open the corporation. See Selecting a corporation. The corporation opens at the Details tab.
  2. Click Application for registration on the Task Bar. The Application for registration wizard appears. If the selected company has already been registered, the following Application for registration message opens: Company status is set to registered. Do you want to produce the form 201?
    To cancel, click No.
    To proceed, click Yes. The Company details screen appears.

    A company that is not yet registered with ASIC will not have an ACN. For example, in Corporate Compliance you cannot appoint officers to a company which does not have an ACN. Since Form 201 requires officers to be appointed, set the status of the company to Unregistered. An unregistered status will bypass the validation request for an ACN when appointing officers to the company. The status of the company can be set in the corporation’s Details.

  3. In the Company Details screen, the following information is shown:

      • Company name
      • State of registration
      • Type of company
      • Class of company.

    Enter the Name reservation number (optional, with a maximum of 9 characters). (If you have previously lodged an ASIC Form 410 to reserve the proposed company name, you will have a Name reservation number.)

  4. Click Next. The Business names screen opens.

  5. Click Yes or No to: Is the proposed name identical to a registered business name(s)? The default selection is No. If you click Yes, you must provide the business name registration details in the table. The table provides a list of all Australian states and territories. Enter the Business Number beside the state to which the number applies.

  6. Click Next and go to Step 7., if the selected company is not a public company. If the selected company is a public company, the Public company governance screen appears.

  7. If the company is limited by guarantee, The amount of the members guarantee is field is enabled. Enter the amount and click Next.
    or
    If the field is disabled, click Next. The Applicant details screen appears.

  8. Enter the Date signed (dd/mm/yyyy) or select the date from the drop-down calendar. The default date is the current system date. This is optional.

  9. Select the applicant.

    • Individual — by default, the individual is selected. Click 

      to search for a person.

    • Corporation — click 

      to search for a corporation. When you select this option, the Signed by fields are displayed. Enter the Given names and Surname under Signed by or select from the drop-down list.

  10. Click Finish now to generate the Form 201, or click Next to check and view the details entered for the company. If you click Finish, Form 201 displays on the Print Preview screen. If you click Next, the Addresses of the selected applicant displays. The current Business address and Registered office address is shown.

  11. Click Finish now to generate the Form 201, or click Next to check and view the details entered for the company. If you click Next, the Registered office details of the selected address displays. The registered office occupier and the registered office hours is shown.

  12. Click Finish now to generate the Form 201, or click Next. If you click Next, the Ultimate holding company details displays. This displays only if the selected company has a current holding company. If the ultimate holding company is an Australian company, its state of incorporation is shown. If the ultimate holding company is a foreign company, its country of incorporation is shown.

  13. Click Finish now to generate the Form 201, or click Next. If you click Next, the Officer details of the selected applicant displays. A current office holding is a position without a date of ceasing.The following information is shown for each officeholder.

    • Officer: Surname, given name (code).

    • Birth details: Date of birth and state or country of birth.

    • Address: The current residential address.

    • Position: Indicates whether the person is a current Director and/or Secretary.

      New registrations can only appoint an officer as Director or Company Secretary (i.e., not as Alternate Director). Alternate Directors are not included on this list and are not included on Form 201. Only officers with a current position of Director and/or Secretary are listed. This list of officers cannot be changed here.

  14. Click Finish now to generate the Form 201, or click Next. If you click Next, the current Issued share details of the selected applicant displays. This will not display for a company limited by guarantee.

    By default, the issued capital is sorted by Share Class order. The issued capital is not consolidated by class. All issues for each class are listed separately.

  15. To view details of the share issue, select a share issue row and click View issue details. The View Share Issue screen opens.

  16. To return to the Issued share details, click Close.

  17. Click Finish now to generate the Form 201, or click Next. If you click Next, the Member details displays. This is displayed only if the selected company is limited by guarantee. If the selected company has shares issued, a list of current primary and joint shareholders is shown.

    The following information is shown for each shareholder/member in descending name order:

    • Name: Member’s surname, given names if the member is a person. Corporation Name and ACN if the member is a company.

    • Code: Client code.

    • Address: If the member is a company, the current business address is shown. If the member is a person, the current residential address is shown.

  • Click Finish now to generate the Form 201, or click Next. If you click Next, the Finish screen opens.

  • Select the documents you want to preview.

  • Click Finish. If you selected to preview documents on the previous screen, they open in the Print Preview screen. If you did not select to preview documents, the ASIC Form Validation screen opens.

  • Complete and lodge the forms with ASIC.
