Transferring and transmitting shares

The Transfer shares wizard is used to:

  • Transfer title in shares from a person or corporation to another person or corporation.

  • Transmit title in shares from a person to another person or corporation.

If you need to transfer title in shares from a corporation that has been de-registered, use the Transfer shares wizard to generate the ASIC form, as described below. Then amend the associated documents (e.g., minutes) to record the circumstances of the transfer.

Multiple share transfers cannot be done on a single Form 484C. In this instance, you need to create a separate form for each share transfer.

How to transfer or transmit title in shares
  1. Select and open the corporation. See Selecting a corporation. The corporation opens at the Details tab.
  2. Click Transfer shares on the Task Bar. The Transfer Shares wizard opens.
  3. Click the drop-down under Select the member… and select the member who is currently listed as holding the shares.
  4. Select either:
    Transfer
     — go to To transfer shares 
    or
     Transmission
     — go to To transmit shares.
How to transfer shares
  1. Select and open the corporation. See Selecting a corporation. The corporation opens at the Details tab.
  2. Click Transfer shares on the Task Bar. The Transfer Shares wizard opens.
  3. Click the drop-down under Select the member… and select the member who is currently listed as holding the shares.
  4. Select 
    Transfer.
  5. Click Next. The Enter transfer details screen opens.
  6. Select a Share class from the list of share classes that have been issued to the transferring member.
  7. Enter the Date of transfer (dd/mm/yyyy) or select the date from the drop-down calendar.
  8. Select whether the transferring member wants to transfer All shares held or Some shares held.
    If you select Some shares held, enter the Number of shares to be transferred.
  9. Enter the Per share or Total amount paid for the share transfer.
  10. Click Next. The Select the transferees screen opens.
  11. Click Transfer. The Member details for the transfer screen opens.
  12. Select the transferee using either the:
     Select member from existing shareholders and officers list
    drop-down
    or
     Select member from the full contact list
    .
    Click 
    then search for the company or person.
  13. Enter the number of Shares to transfer.
  14. Enter the Certificate number.
  15. Select Yes or No to indicate whether the transferee is the Beneficial owner.
  16. A beneficial owner of stock is any person or entity with sole or shared power to vote or dispose of the stock. This SEC definition is intended to include a holder who enjoys the benefits of ownership although the shares may be held in another name.
  17. Click OK. The Select the transferees screen reopens. If the transferee details are incorrect, click Undo and repeat above steps.
  18. Click Next. The Select the joint holders for the transferees screen opens.
  19. If the shares are Not to be held by joint shareholders, then proceed to Step 19.. To be held by joint share holders, then:
    1. Click Joint Holders… to open the Joint shareholders screen.

    2. Click Add. The Find a contact screen opens.

    3. Search for the company or person.

    4. Click OK and Close.

    5. Click Next. The Confirm the share transfer details screen opens.

    6. If the details are:

      • Incorrect, click Back to correct the data.

      • Correct, click Next. The Select the documents you wish to produce screen opens.Select the documents you require.

    7. Enter the signatory details.

    8. If relevant, indicate if this form is being generated In response to a company statement (as required for Form 484C).

    9. Click Next. The Enter the details of the directors meeting... screen opens.

    10. Enter the meeting details.

    11. Click Next. The Finish screen opens.

    12. Select the documents you want to preview.

    13. Click Finish. If you selected to preview documents in the previous screen, they open in the Print preview screen.

    14. If you did not select to preview documents, the ASIC Form Validation screen opens.

  20. Complete and lodge the form with ASIC (see ASIC forms in progress and Forms lodgement).
How to transmit shares
  1. Select and open the corporation. See Selecting a corporation. The corporation opens at the Details tab.
  2. Click Transfer shares on the Task Bar. TheTransfer shares wizard opens.
  3. Select the member who is currently listed as holding the shares from the drop-down.
  4. Select 
    Transmission.
  5. Click Next. The Share transmission details screen opens.
  6. Enter the Date of death of the shareholder (dd/mm/yyyy) or select the date from the calendar.
  7. Enter Transfer date.
  8. Click 
    beside the Select the member... field. The Find a contact screen opens. Search for the corporation or person.
  9. Click OK. The Enter the share transmission details screen reopens.
  10. Select whether the shares are to be Beneficially owned.
  11. If the shares:
    1. Click Joint Holders… The Joint shareholders screen opens.

    2. Click Add. The Find a contact screen opens.

    3. Search for the corporation or person.

    4. Click OK and Close.

    5. Click Next. The Confirm the share transmission details screen opens.

  12. If the details are:
    • Incorrect, click Back to correct the data.

    • Correct, click Next. The Select the documents you wish to produce screen opens.

  13. Select the documents you require.
  14. Enter the signatory details.
    If relevant, indicate if this form is being generated In response to a company statement (as required for Form 484C).
  15. Click Next. The Finish screen opens. Select the documents you want to preview.
  16. Click Finish. If you selected to preview documents in the previous screen, they open in the Print preview screen.
    If you did not select to preview documents, the ASIC Form Validation screen opens.
  17. Complete and lodge the form with ASIC (see ASIC forms in progress and Forms lodgement).
