Supplier Feeds Technology Pilot - Terms and Conditions

The pre-release version of the supplier feeds technology ("Supplier Feeds Technology") is provided to your organisation/company ("Company") on the following terms and conditions. The Supplier Feeds Technology has not been issued for general release. As part of the development of the Supplier Feeds Technology, MYOB Australia Pty Ltd (“MYOB”) is running a pilot to understand the suitability of the Supplier Feeds Technology (“Trial”) for the general market.

1.    Your Company has consented to participate in the Trial on the terms set out below. In return for the opportunity to participate in the Trial, you understand and agree that:

1.1.    the Supplier Feeds Technology is a pre-release version which is still undergoing development and may therefore not be error-free, nor perform at optimum performance levels;

1.2.    the Supplier Feeds Technology is not ready for general release to MYOB clients or to any other person;

1.3.    as the Supplier Feeds Technology is not a released version, MYOB employees are not fully trained on the Supplier Feeds Technology and may therefore not be in a position to provide support which is usually provided for production versions of MYOB products. MYOB shall use its reasonable endeavours to ensure you have priority support for this pre-release version of the Supplier Feeds Technology for the term of the Trial. If you have any queries or problems arising from the use or implementation of the Supplier Feeds Technology, you agree to contact the MYOB pilot support team in the first instance;

1.4.    the Supplier Feeds Technology must not be duplicated, and may only be used within your Company for the purposes of testing and evaluation during the Trial;

1.5.    where required, the Supplier Feeds Technology is to be evaluated and reported upon by your Company to the MYOB pilot release team for referral to the MYOB product development team;

1.6.    you (both individually and on behalf of your Company) agree to not divulge features of the Supplier Feeds Technology and the fact of the Trial is being undertaken to anyone outside the Company or any other party not directly related to the Trial unless authorised by MYOB;

1.7.    you (both individually and on behalf of your Company) agree to comply with any reasonable direction given by MYOB or its employees in relation to the Supplier Feeds Technology or the Trial; and

1.8.    to the extent permitted by law (including the Australian Consumer Law), MYOB excludes all warranties (whether express or implied) not set out in these terms and limits any liability (whether arising under contract, tort or statute) for:

i.    damage, loss or inability to use or access any data or programs caused by or arising (whether directly or indirectly) from the use of the Supplier Feeds Technology; or

ii.    any other loss, damage, cost (including without limitation consequential loss and loss of profits) or expenses arising (whether directly or indirectly) from the use of the Supplier Feeds Technology, if you or your Company fail to comply with any of these terms.

1.9.    to the extent that this licence to use the Supplier Feeds Technology is subject to implied warranties which cannot be excluded (eg under the Australian Consumer Law), the liability of MYOB for breach of any of those warranties is limited to re-instatement of the current release version of Supplier Feeds Technology.

2.    Your Company may at its discretion choose to discontinue its participation in the Trial by giving 24 hours’ notice in writing (by mail or email) to MYOB.

3.    The MYOB Essentials / AccountRight Terms of Use will continue to apply. In the case of any inconsistency between the terms, these terms shall prevail.

4.    References to “Bank Feeds” and “Bank Feeds Data” within the MYOB Essentials / AccountRight Terms of Use shall be read as including “Supplier Feeds” and “Supplier Feeds Data”.
